Agreement
These terms are a contract between you and [LEGAL ENTITY NAME]. By creating a Dockly account or using any Dockly app you accept them. If you accept on behalf of a company, you confirm you are authorised to bind that company.
The service
Dockly One is a connected suite of business applications with an AI assistant, and Dockly Experts is an optional service where our team completes agreed jobs inside your workspace.
We may add, change or remove features. Where a change materially reduces the functionality of a paid plan we will give you [NOTICE PERIOD] notice.
Some apps and features are pre-release. These are offered as-is, may change without notice, and may be withdrawn.
Accounts
One Dockly ID gives access to every Dockly product you subscribe to. You are responsible for keeping your credentials secure and for everything done under your account.
You must give accurate registration information and keep it current. You must be at least 18 years old.
Your data
You own the business data you put into Dockly. You grant us only the licence needed to host, process, back up and display that data in order to run the service for you, and to provide support when you ask for it.
We handle personal data as described in our Privacy Policy. [CONFIRM: whether a Data Processing Addendum is offered and how a customer requests one.]
On account closure you may export your data for [EXPORT WINDOW]. After that we delete it in line with the retention periods in the Privacy Policy.
Acceptable use
You agree not to:
- Break any applicable law, or use Dockly to help anyone else do so.
- Upload malware, or attempt to breach, probe or disrupt the service or another customer's data.
- Reverse engineer the service, or resell or sublicense it without our written agreement.
- Use the service to send unsolicited bulk messages.
- Misrepresent AI-generated output as professional legal, tax, accounting or medical advice.
AI output
Dockly AI produces drafts and suggestions. It can be wrong. You are responsible for reviewing anything it produces before you rely on it, file it, or send it to anyone.
Nothing Dockly AI generates is legal, tax, accounting or financial advice, and it does not replace a qualified professional. This matters in particular for tax filings and statutory compliance.
Dockly Experts
Each Dockly Experts engagement is governed by the work order you approve, which sets out scope, price and delivery. Where a work order conflicts with these terms, the work order governs for that engagement.
You remain responsible for the accuracy of the data you give us and for reviewing delivered work. [CONFIRM: revision policy, cancellation terms, and whether work-product IP transfers on payment.]
Fees and payment
Paid plans are billed [BILLING CYCLE] in advance. Prices shown on the site are indicative until launch and exclude taxes, including GST where applicable.
[CONFIRM: accepted payment methods; late payment consequences; how price changes are notified; the refund and pro-rata policy; auto-renewal terms and how to cancel.]
Free plans carry fair-use limits. We may apply reasonable limits to protect the service.
Availability
We aim to keep Dockly available at all times but do not guarantee uninterrupted service on any plan without a written service level agreement.
[CONFIRM: whether an SLA with uptime commitments and service credits is offered, and on which plans.]
Intellectual property
We own the Dockly software, brand and documentation. You own your data. Neither party gains rights in the other's intellectual property beyond the licences stated here.
Feedback you send us may be used to improve the product without obligation or payment.
Suspension and termination
You may close your account at any time. We may suspend or close an account for material breach of these terms, non-payment, or where required by law — with notice where it is lawful and practical to give it.
Warranties and liability
[THIS SECTION MUST BE DRAFTED BY COUNSEL. It should set out the disclaimer of implied warranties, the liability cap, excluded categories of loss, and the carve-outs that cannot lawfully be limited under Indian law. Do not publish placeholder wording here.]
Governing law
These terms are governed by the laws of India, and the courts of [JURISDICTION CITY] have exclusive jurisdiction. [CONFIRM whether arbitration is preferred, and the seat and rules if so.] [CONTEXT, updated 2026-09-18: registration covers six markets (src/content/markets.ts), five of them outside India. An exclusive Indian-courts clause will be tested against consumer and local-law protections in the EU in particular, where such clauses are frequently unenforceable against consumers and sometimes against small businesses. Counsel should confirm it holds, or decide where it does not and what applies instead.]
